Terms of Use

1. About these terms

These terms govern your use of VP Lab, operated by VantagePoint Networks(“we”, “us”, “our”), an independent IT and AI consultancy based in London, United Kingdom. By accessing or using the site you agree to these terms in full. If you do not agree, you must not use the site.

2. Who can use VP Lab

You may use VP Lab if you are at least 18 years old and either using it in a personal capacity or duly authorised to use it on behalf of an organisation. If you are using the site on behalf of an organisation, you confirm that you have authority to bind that organisation to these terms, and “you” includes that organisation.

3. What VP Lab is

VP Lab is a free, public demonstration environment. The demos let you try AI tools on your own text or documents to illustrate what a private AI deployment by VantagePoint Networks could do for your organisation. Use of the site is subject to reasonable rate-limiting and technical safeguards to prevent abuse.

AI inference for the public demos is provided by a third-party processor described in our Privacy Policy. A paid private deployment with us runs on hardware you control and does not use any external inference provider.

4. Not professional advice

Output from the VP Lab demos is produced by a large language model. It is not legal, financial, accounting, tax, medical, regulatory, or any other kind of professional advice and does not create any professional relationship between you and VantagePoint Networks. The AI can be confidently wrong.

Do not rely on any demo output as the basis for a professional decision or as a substitute for qualified human judgement. Any action you take based on demo output is at your sole risk.

5. Nature of AI output

You acknowledge and accept that the AI output:

  • may be factually incorrect, incomplete, misleading, or fabricated (“hallucinated”);
  • may reflect biases present in the underlying model’s training data;
  • is non-deterministic — the same input may produce different output on different runs;
  • may produce content substantially similar to material already generated for another user with similar input;
  • is not reviewed by a human prior to delivery to you.

You must independently verify any output before relying on it. You are solely responsible for any use you make of the output.

6. Your content — licence to us

You retain all rights you have in the content you submit to the demos (“Your Content”). You grant VantagePoint Networks and its sub-processors a non-exclusive, worldwide, royalty-free licence to process Your Content solely to the extent necessary to operate the demos, produce the output, and perform the technical operations required to deliver the site to you. This licence lasts only for the duration of the request and expires automatically once the response is delivered.

7. Acceptable use

You must not:

  • use the demos in a way that breaks UK law, infringes any person’s rights, or exposes you or a third party to legal or regulatory risk;
  • submit content you do not have the right to share with an external AI processor — including (without limitation) client files, third-party personal data, privileged material, confidential business information, or regulated data;
  • use the site to process special-category personal data or criminal-offence data;
  • attempt to circumvent rate-limiting, scrape the site at volume, interfere with its availability, or probe it for vulnerabilities without our prior written permission;
  • reverse-engineer, decompile, or attempt to extract the underlying model weights, prompts, or non-public infrastructure;
  • use the demos to generate unlawful, defamatory, deceptive, harassing, hateful, or sexually explicit content;
  • pass off demo output as your own professional work-product without your own review, verification, and sign-off;
  • use automated means to access the site other than standard browser rendering;
  • resell, sublicense, or operate the demos as a commercial service to third parties.

We may suspend or terminate your access at any time, without notice, if we reasonably believe you have breached these terms.

8. Your representations and warranties

By submitting Your Content you represent and warrant that:

  • you own or have all necessary rights, consents, and authority to submit it;
  • submission to the site and onward processing by our sub-processors does not breach any contract, law, confidentiality obligation, or professional rule applicable to you;
  • it does not infringe any third party’s intellectual property, privacy, or other rights;
  • it does not contain malware, exploit code, or anything designed to harm or destabilise the site;
  • it does not contain special-category personal data, criminal-offence data, or data of children under 18.

9. Your indemnity

You agree to indemnify and keep indemnified VantagePoint Networks (and its officers, employees, contractors, and sub-processors) from and against all claims, losses, damages, costs, expenses (including reasonable legal fees) and liabilities arising out of or in connection with your breach of these terms or your wilful misconduct, including (without limitation):

  • breach of the acceptable-use rules in section 7;
  • breach of the representations and warranties in section 8;
  • any use of the demo output by you (or anyone acting through you) contrary to section 5;
  • any third-party claim arising from Your Content or your use of the site, where that claim is attributable to your breach or wilful misconduct.

This indemnity is limited to losses attributable to your breach or wilful misconduct and does not extend to losses caused by our own negligence or breach. It survives termination of these terms.

10. Our intellectual property

The design, layout, code, copy, motifs and overall presentation of VP Lab (together, the “Site Materials”) are the intellectual property of VantagePoint Networks. “VantagePoint Networks” and “VP Lab” are our trade marks (whether registered or unregistered). All rights not expressly granted to you are reserved.

The source code of this site may be published for reference. Commercial re-use of the Site Materials, or any distinctive element of the VP Lab branding or overall presentation, is not permitted without our prior written consent.

11. Third-party content and links

VP Lab contains links to third-party websites and services. These are provided for convenience only. We do not endorse or accept responsibility for the content, privacy practices, security, or availability of any third-party site or service. Your use of any third-party site is at your own risk and subject to that site’s own terms.

12. Availability and security

The site is provided “as is” and “as available”. We do not guarantee uninterrupted, error-free, or secure operation. The demos depend on a third-party AI processor and may be unavailable, degraded, or withdrawn at any time, with or without notice, at our sole discretion.

13. Disclaimer of warranties

To the fullest extent permitted by law, VantagePoint Networks excludes all representations, warranties, conditions and other terms (whether express or implied by statute, common law or otherwise) in relation to VP Lab, including any warranty of satisfactory quality, fitness for a particular purpose, accuracy, completeness, non-infringement, availability, or security.

14. Limitation of liability

To the fullest extent permitted by law, VantagePoint Networks is not liable for:

  • any indirect, consequential, special, or incidental loss;
  • loss of profit, revenue, business, goodwill, anticipated savings, opportunity, or data;
  • any loss arising from your reliance on, or action taken as a result of, AI output;
  • any loss caused by a third-party sub-processor, third-party site, or event outside our reasonable control.

Our total aggregate liability arising out of or in connection with these terms or your use of VP Lab — whether in contract, tort (including negligence), breach of statutory duty or otherwise — shall not exceed £100 (one hundred pounds sterling). The demos are provided free of charge and this cap reflects that.

Nothing in these terms limits or excludes our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot lawfully be limited or excluded.

15. Time bar on claims

Any claim against VantagePoint Networks arising out of or in connection with these terms or your use of VP Lab must be notified to us in writing within six (6) months of the date on which the cause of action arose, failing which it shall be deemed waived and absolutely barred.

16. Termination

These terms remain in force while you use the site. We may terminate or suspend your access at any time for any reason, including any breach (or suspected breach) of these terms, without notice or liability to you. Sections that by their nature should survive termination (including sections 5, 6, 8, 9, 10, 13, 14, 15, 18 and 22) will so survive.

17. Force majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including (without limitation) failure of internet infrastructure, acts of third-party providers, cyber-attacks, power outages, strikes, governmental action, pandemics, or acts of war or terrorism.

18. Severability

If any provision of these terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions shall continue in full force and effect.

19. No waiver

No failure or delay by VantagePoint Networks to exercise any right or remedy under these terms constitutes a waiver of that right or remedy. A waiver in one instance does not imply a waiver in any other.

20. Entire agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and VantagePoint Networks in relation to VP Lab and supersede any prior agreement or understanding. Nothing in these terms affects any separate written agreement between you and us in respect of a private deployment engagement.

21. Changes

We may update these terms from time to time. The “last updated” date and version number at the top of the page reflect the most recent revision. Continued use of the site after changes take effect constitutes acceptance of the updated terms. If you do not accept the updated terms, you must stop using the site.

22. Governing law and jurisdiction

These terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute. You agree to attempt in good faith to resolve any dispute informally by email to info@vpnetworks.co.uk before commencing proceedings.
